10. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEHRABAN ORIENTAL RUGS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Mehraban Oriental Rugs, Inc. and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit or transmit through the Services.
13. DISPUTE RESOLUTION
A. Informal Resolution
Before initiating any formal dispute process, you agree to first contact us at sales@mehraban.com and attempt to resolve the dispute informally. We will make good faith efforts to resolve the matter within thirty (30) days of receiving written notice.
B. Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services (excluding the claims listed in Section 13(D)) shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where applicable, its Consumer-Related Disputes Supplementary Procedures. The arbitration shall take place in Los Angeles County, California, or remotely if agreed.
YOU UNDERSTAND THAT BY AGREEING TO ARBITRATION, YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.
C. Class Action Waiver
All disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any class or representative proceeding.
D. Exceptions to Arbitration
The following disputes are not subject to arbitration and may be brought in a court of competent jurisdiction:
-
Claims to enforce or protect intellectual property rights
-
Claims for injunctive or other equitable relief to prevent irreparable harm
-
Claims that applicable law expressly excludes from arbitration
Nothing in this Section limits your right to bring individual claims in small claims court for matters within that court’s jurisdiction.
E. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. For any claims not subject to arbitration, you consent to personal jurisdiction and venue in the state and federal courts located in Los Angeles County, California.
F. Limitation Period
Any claim arising out of or related to these Terms or the Services must be brought within one (1) year of when the claim arose. Claims not brought within this period are permanently barred, to the extent permitted by law.
14. DIGITAL COMMUNICATIONS CONSENT
By using our Services, you consent to receive electronic communications from us, including emails, text messages (if you have opted in to SMS), and notices posted on the website. You agree that such communications satisfy any legal requirement that communications be in writing.
For SMS/text message communications, standard message and data rates may apply. You may opt out of text messages at any time by replying STOP. For email marketing, you may unsubscribe at any time by clicking the unsubscribe link in any marketing email.
15. MODIFICATIONS
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last Updated” date at the top of this page and, where appropriate, by posting a notice on our website or sending an email. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the updated Terms.
16. TERMINATION
We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services immediately ceases. Sections 2, 10, 11, 12, 13, and all other provisions that by their nature should survive, will survive termination.
